Primary Objective and Purpose: Assist the Vice President-Internal Audit with the management of the corporate internal audit function, including design, development, and maintenance of a comprehensive corporate audit plan. Plans, manages, directs and/or executes corporate audit projects. Performs advanced, specialized and/or managerial auditing work in multiple disciplines. Assess control structure for compliance with external regulatory requirements for mutual funds (SEC, NASD). Assists with the hiring, on-the job training and development of a highly professional integrated audit staff at varying levels. Essential Functions: ' Under the general direction of the Vice President- Internal Audit, the incumbent is responsible for preparing the annual risk assessment and implementing a risk based audit plan to assess, report on, and make suggestions for improving the Corporation's key financial, compliance, operational and internal controls. ' Responsible for managing and performing complex audits of higher risk areas within mutual funds, corporate portfolio and other financial statement areas. ' Perform critical project management duties in the planning, scheduling, coordinating, reviewing and reporting of the work of the audit teams; and providing expertise in auditing and accounting authoritative standards as required by GAAS and GAAP. Also, provide expertise in performance criteria, audit requirements and information technology. ' Identify, understand, and document processes and procedures surrounding internal controls. Continually monitor and update the assessment of the control environment, keeping abreast of significant control issues, trends and developments and communicate these issues including recommending strategic approach to implementation with the Vice President ' Internal Audit prior to taking action. ' Understand the requirements of the Sarbanes-Oxley Act of 2002 (and any related SEC follow-on pronouncements, including requirements resulting from actions taken by the PCAOB) and assist in maintaining processes and functions to help ensure compliance with such requirements as applicable to the Corporation. ' Develop test plans for all auditable processes with an impact on the internal controls over financial reporting and compliance with regulatory requirements. In concert with the Vice President, determine which aspects of management self assessment testing should be implemented under the best practices requirements of Sarbanes-Oxley and coordinate the performance of this testing with management. ' Plan, assign and supervise the daily activity and work of other auditors. ' Develop and maintain productive internal client and staff relationships. ' Teach, train and coach staff. Also, provide guidance as necessary to the other Internal Managers overseeing Operational and Information Technology audits ' Develop procedures, schedules, priorities and programs for achieving overall divisional audit objectives and goals. ' Understand state, local and federal tax compliance issues. ' Prepare complex audit reports using advanced writing skills. Communicate results of audit findings with senior management. ' Use project management skills and tools to oversee project progress as well as audit projects performed by external resources; SAS 70, Information Technology projects and external audits to achieve appropriate deadlines are met in a timely manner and all goals and objectives are properly achieved. ' Have a strong understanding of financial statements, mutual funds regulatory requirements, anti-fraud criteria and controls for investment companies. ' Continue to develop appropriate infrastructure for the Internal Audit Division under the direction of the Vice President ' Internal Audit. Other Duties ' Identify and communicate to department personnel changes in professional standards, authoritative accounting pronouncements, compliance regulations, guidelines and audit requirements. ' Assess risk factors to identify high risk areas within the corporation. ' Attend and/or conduct internal meetings and participating in the recruitment and hiring of internal auditors. ' Attend, present and/or participate in continuing professional education classes and training courses. Key Requirements The new Senior Manager of Internal Audit must be an outstanding leader of uncompromising integrity along with the necessary credibility, expertise and experience required to maintain a successful world class Internal Audit Division. Specifically, he/she should meet the following specific criteria: ' A minimum of five years experience with a public accounting firm and three to five years of industry experience with an emphasis on financial and accounting applications and financial, information technology and operational controls. Professional experience should include at least four years of experience directly supervising staff at varying levels of their career. ' In depth knowledge of auditing practices, procedures and principles, sufficient to interpret and analyze complex concepts and apply these in an effective manner under the direction of the Vice President ' Internal Audit. Skills and knowledge should include an extensive understanding of financial, operational, market, credit and technology risk. Should have thorough knowledge of GAAS and GAAP in the US. ' Thorough understanding and familiarity with the COSO framework and control self-assessment approach for the review of reliable financial reporting, operational efficiency and compliance. ' Capability of evaluating the effectiveness of management in their stewardship of ICMA-RC's resources and their compliance with established corporate policy and procedures including corporate governance, code of conduct standards, and the business ethics and conduct policy. ' Experience in an internal audit function preferred. ' Experience in the Financial Services (Investment Advisors, Mutual Funds) highly preferred. Candidate should have the ability to develop creative approaches and solutions necessary to solve complex problems. ' Strong written and verbal communications skills with experience interacting and presenting to senior management level personnel. ' The candidate should be an energetic, self-starter capable of self-direction and also receiving direction from chief audit executive. ' He/She should be driven to deliver quality results on time, with a high degree of integrity and in a highly ethical and professional manner. ' The candidate should be self reliant and have strong initiative as well as possess solid business judgment. ' He/She must be resourceful, strategic and possess excellent analytical abilities.
