We are seeking a senior level Attorney to focus on commercial transactions and a variety of other corporate and SEC - related matters. The attorney will support the Company’s US locations for all general corporate and employment matters and work on commercial transactions with respect to customers located in the US and EU.  The Attorney will work independently but collaboratively as part of a small and fast-paced legal department.  The ideal candidate will have both law firm and in-house experience, exposure working in a global organization and at least 10 years of experience.  International experience required.  The position is based will be based in Palo Alto, Ca.  The position will report to the Company’s General Counsel located in Palo Alto, Ca.

Requirements:

JD, with top-notch academic credentials. Draft, review and negotiate and draft a variety of customer commercial transactions including agreements for software development and licensing, service and consulting agreements, inbound license agreements.     Experience advising clients on structuring complex international commercial transactions, including sales and services contracts. Experience in intellectual property matters and IPR best practices. Strong  background and experience in securities and corporate governance. Experience in handling employment matters in the United States. Support the continuous improvement of standard form agreements, the development of policies and procedures for commercial agreements and develop and provide training to business and sales groups. Excellent business judgment, strategic thinking and financial background. Organization skills and ability to juggle numerous projects under pressure. Flexibility and willingness to work on a broad variety of legal matters. Superior English language written and verbal communication skills. Excellent interpersonal skills, dynamic and highly team-oriented. Commitment to professionalism and collegiality is required. Willingness to travel.
