Sr. Attorney – Sourcing (Collegeville, PA) Sr. Attorney will counsel and provide legal support to Global Strategic Sourcing, Information Technology, Global Business Operations, Pharmaceuticals Business Units, Research and Global Business Development Departments with respect to matters associated with Wyeth’s manufacture, procurement and outsourcing activities. Additionally, the Senior Attorney will provide transactional legal support for important ancillary matters within the responsibility of the Law Department’s Global Transactions Legal Team. RESPONSIBILITIES: Ø Negotiation and drafting of various types of legal agreements; Ø Interpretation of existing alliance documents; Ø Counseling clients on structure and terms of potential transactions and rights and obligations under existing agreements; Ø Advising and assisting clients in the management of and resolution of disputes which may arise in connection with ongoing alliances; Ø Providing transactional legal support for patent and general litigation groups in connection with resolution of certain disputes and entry into settlement and related agreements; and, Ø Working on special projects as assigned to improve service provided by Law Department Global Transaction Group and to otherwise meet client needs. QUALIFICATIONS: JD and member of at least one state bar; 5+ years experience at a law firm and/or in-house corporate law department drafting and negotiating commercial transactions. Experience with product/ materials manufacturing and supply, service, software licensing and other commercial agreements for the pharmaceutical and/or biotechnology industries is preferred; Candidate must have strong communications skills, both verbal and written; Extensive knowledge of contract law and other areas of law impacting commercial contracts entered into in the pharmaceutical industry; Candidate must be self-motivated and able to manage and prioritize a large variety of tasks concurrently; Candidate must be a creative problem solver and able to help guide clients in finding and implementing appropriate (both legally and otherwise) solutions to issues arising in connection with or in the structuring and negotiation of Wyeth’s alliances and other third party agreements; and, Familiarity with patent and intellectual property matters is preferred, but not required.
