Description: Provide full range of legal support and advice as counsel to one or more lines of business. Advise line and senior management on all legal issues involving government contracts and subcontracts in major space and ground systems from the bid-no bid determination through bid and proposal, performance and close-out. The position will involve legal support to a range of senior management, contracts/subcontracts administrative staff, human resources, engineers and others in large USG prime contract programs for systems hardware. The primary responsibility of the position includes support of Contracts and Materiel/Subcontract personnel in drafting and negotiating prime contract proposals and contract terms and conditions, subcontract teaming agreements and major subcontract agreements, review of supplier terms and exceptions to terms, non-disclosure agreements, memoranda of understanding, advanced agreements, special contract and subcontract provisions and a variety of other contractual instruments. Minimum 10 years of relevant experience in government contract law is required. Will be required to secure a secret clearance. Current special background clearance, or eligible to receive a special background investigation, a definite plus. JD or LLB is required. Writing sample is required. Qualifications: REQUIRED:
A thorough understanding of government contract law and the Federal Acquisition Regulation and clauses, data and software rights, and cost principles and financing is required, as well as excellent analytical, written and verbal skills. Ability to easily interface with senior corporate and customer executives and counsel is essential. Current state bar membership required. Applicant will be required to qualify for and be admitted to membership in the California Bar within a reasonable time.
DESIRED:
Experience in and fundamental understanding of the commercial litigation, arbitration, and mediation process, commercial contracts, antitrust law and export control rules and regulations is desired. Experience as an outside counsel or working with outside counsel on a variety of legal topics and management of litigation is also a plus; as is experience and proven skills as a legal manager. Must be a motivated self-starter who can energize and collaborate with the team, take responsibility for legal projects, with proven ability to work in a fast paced environment and manage a high volume of work.
