Caraco Pharmaceutical Laboratories, Ltd. is actively seeking a Director of Legal Services to support our growing enterprise in Detroit. In this position you’ll use your strong SEC background and broad knowledge of corporate, contractual and securities law matters to act as a “right hand” to our CEO and as a member of our Operating Committee. You’ll act as an individual contributor to provide guidance and counsel on contractual matters, spearhead the preparation of earnings releases and provide thought leadership in the areas of securities law and corporate governance. Specifically, the position contributes as follows:
· Participates in SEC proceedings to improve and optimize the Company’s business operations and outlook. Prepares and files associated paperwork to comply with SEC requirements. Prepares quarterly and annual filings with the SEC, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8K, earning releases, proxy statements and related reports and filings.
· Work closely with Federal Legislative and State teams to coordinate on issues that crossover and involve the SEC.
· Oversees legal administration of proxy initiatives.
· Represents the Company in high level employment law proceedings. Counsels and provides guidance and direction to Director, Human Resources regarding response to initial complaints. Provides support and direction for union bargaining and contract issues.
· Develops an internal network of company contacts to create proper awareness of regulatory and legal issues impacting the company. Elicits cooperation of various departments to generate information needed to support company positions on regulatory issues.
· Provides guidance and direction to the Operating Committee on legal issues that affect the organization.
· Keeps abreast of current regulatory decisions and pharmaceutical industry trends that could impact the company and develops action plans to respond, as appropriate.
· Develops relationships with key regulators and industry representatives to facilitate advocacy that supports Company views.
· May provide support for merger and acquisition efforts.
· Efficiently manages relations and works with outside counsel, as required, minimizing associated costs.
· Other assignments as may from time to time be required.
What our Candidate will bring with them:
JD degree with excellent academic credentials from a major law school and Michigan Bar membership/MI bar eligible. 5+ years of experience as a lead corporate attorney with expert knowledge level in regulatory securities law and equity compensation matters.3+ years of experience in a mid to large firm private practice or in house counsel role.2+ years of experience in employment law, with exposure to immigration law requirements.2+ years of exposure to legal issues on both a proactive and reactive basis with regard to mergers and acquisitions.Superior writing and oral communication skills. Exceptional interpersonal skills and a commitment to professionalism, integrity and team. Flexibility and willingness to work on a broad range of legal matters.What we have for our Candidate:
