Assist in product development. Provide advice to business development initiatives, including developing overview of foreign regulatory regimes and advising regarding appropriate corporate structures, including branch, joint venture and equity arrangements. Provide advice to Compliance staff regarding international and foreign legal issues. Negotiate legal agreements with entities outside the United States. Assist in the development, maintenance and implementation of the company’s corporate governance policies as these policies relate to international operations. Prepare and oversee regulatory filings. Assist on a variety of other matters as a member of the Unit. WHAT ARE WE LOOKING FOR? Candidate ProfileMinimum of five years of law firm or equivalent international legal experience. It is expected that if you are not already a member of the Connecticut Bar that you will obtain admission to the Connecticut Bar (by examination, waiver or authorized house counsel process) as soon as possible, and in any event within the time period required by any applicable statute or rule. Significant experience in counseling financial services or insurance clients with respect to a broad range of international regulatory and general corporate issues. Experience in drafting and negotiating multinational contracts. Experience in supervising outside counsel in a variety of jurisdictions. Experience in international and multinational dispute resolution. General corporate legal knowledge. Experience in mergers and acquisitions and other transactions. Strong analytical and critical thinking skills.
