We are currently looking for qualified Corporate Counsel to join our Legal team at our worldwide headquarters in Islandia, NY.

The Counsel will have Disclosure (1934 Act and proxy experience a plus) responsibilities with the following detail-Assist with 10-Ks, 10-Qs, 8-Ks; legal compliance with the rules for the document, running down discreet issues with senior management (for example, meeting with the Controller or CFO regarding a financial issue), discreet disclosure issues related to disclosures and filings, running the Company's disclosure committee processes, earnings (Reg FD and Reg G experience a plus), earnings release, script, slides, investor meeting disclosure.

The Counsel will also perform Proxy Statement disclosure and processes, D&O questionnaires, shareholder proposals, governance disclosures, etc. and Sec 16 filings (Forms 3, 4 and 5) and insider trading policy and will also hold Corporate Secretarial responsibilities for Corporate Governance (NYSE 303A experience a plus). This includes review of Committee charters, Governance Principles, emerging best practices for a Board and Committees, etc., NYSE Governance Rules compliance, drafting Company policies including implementing new SEC and/or NYSE Rules, board and Committee meetings (Corporate Secretarial experience a plus), agenda setting, preparation of background materials and review of materials prepared by other areas of the firm, drafting resolutions, talking points and minutes.

Key Requirements:

* Minimum of four years of experience as a corporate attorney, including securities law experience
* Ability to manage multiple tasks simultaneously and efficiently
* Strong interpersonal skills and ability to communicate effectively with others at all levels of the organization
* Excellent organizational skills coupled with excellent writing, public speaking and presentation skills
* Working knowledge of MS Word, Excel, Outlook and PowerPoint
