The individual’s responsibilities will include the following:
The Corporate Counsel Attorney is responsible for securities matters and will assist in the review and/or preparation of the Companies various securities filings, such as Forms 10-K, 10-Q and 8-K, proxy statements and annual reports to shareholders. This position will also work with the company’s business development team on transactions as well as assisting with technology licensing and special projects covering a wide range of subject areas.
Interested candidates should have large law firm or corporate law experience, the ability multi-task and the ability to deal effectively with employees and external business contacts in a positive, service oriented manner. The legal department is small, collegial and highly valued by the business team.
Required qualifications include the following:
· Licensed Attorney
· Bachelors Degree and J.D. required
· Minimum 3 years of M&A licensing and contracts, securities, SEC filings and reporting
requirements and corporate governance
· Strong analytical and problem-solving skills
· Excellent written, verbal and interpersonal communication skills
· Licensed in the state of Minnesota
Desired qualifications include the following:
· Experience related to medical device products and markets
· Background in chemistry, biology or similar technical area
