Position Description:

Candidate will report to Director of Commercial Transactions to structure, draft, review and negotiate product sales agreements, general commercial agreements and inbound and outbound license, development, consulting and other technology related agreements for both hardware and software. Draft standard agreement templates as necessary to address new products and/or IP issues. Interface with global business teams to understand key IP and commercial requirements and ensure that contractual terms comply with management priorities and company legal and business policies and procedures. Advise marketing and sales staff on contractual rights and obligations and serve as a resource for interpretation of terms and conditions. Coordinate with internal legal team and engineering, marketing, sales and finance departments as necessary to address contract issues. Work with Business Affairs Manager to implement efficient contract administration procedures. Build relationships with customers and vendors while negotiating agreements that meet company legal and business goals.

Qualifications:

Member of the California Bar; J.D. from a top law school. 3 to 5 years in commercial transactions, licensing and/or intellectual property at a top tier law firm and/or in-house corporate IP legal environment. Experience at a technology company a plus. Strong oral and written communications skills. Ability to identify and solve problems creatively in a fast-paced international environment. Attention to detail and the big picture, strong organizational skills and the ability to work independently. Team player with strong work ethic. Must possess business savvy ability to identify and resolve issues.
